Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and Baytech Consulting LLC (“Baytech,” “we,” “us”) and govern your use of Text Agent, including the website at www.textagent.dev and the application at app.textagent.dev (together, the “Service”).

By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you agree to these Terms for that organization and confirm you have the authority to do so. If you do not agree, do not use the Service.

• You must be at least 18 years old to use the Service.
• Accounts are created by invitation, or when an administrator approves a request for access. The information you give us must be accurate and kept up to date.
• You are responsible for keeping your sign-in details confidential and for all activity under your account. Tell us promptly at support@textagent.dev if you suspect unauthorized use.
• We are not liable for losses caused by unauthorized use of your account.

You agree not to:

• Use the Service for anything unlawful, deceptive or harmful.
• Create or publish content that infringes others’ rights, or that is defamatory, abusive or spam.
• Upload malware or interfere with, overload or disrupt the Service.
• Try to access accounts, sites or data that are not yours.
• Copy, resell, reverse engineer or build a competing product from the Service.
• Use the Service in a way that breaks the terms of a connected service, such as YouTube.

We may suspend or terminate access, without notice, to anyone who breaks these rules.

• You own your content. That includes the drafts, articles, images, files and videos you put into the Service.
• Permission to run the Service: you give Baytech a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display your content as needed to provide the Service to you. That includes sending it to the AI providers and other service providers described in our Privacy Policy, and publishing it where you tell us to.
• Your responsibility: you confirm you have the rights to the content you use with the Service and to the websites and channels you connect, and you are responsible for what you publish.

• The Service uses AI to draft, edit and generate text and images. AI output can be inaccurate, incomplete or similar to content produced for others.
• Output is provided “as is,” without warranties. Review it before you publish it, and do not rely on it as legal, financial, medical or other professional advice.
• As between you and Baytech, you own the output the Service generates for you, to the extent the law allows.

The Service connects to third-party services you choose, such as WordPress and Craft CMS websites and YouTube. When you connect one, you authorize us to act on that account as needed for the features you use, including publishing your content when you ask us to.

• YouTube: Text Agent uses YouTube API Services. By using its YouTube features, you agree to be bound by the YouTube Terms of Service, and Google’s handling of your data is described in the Google Privacy Policy.
• Your use of each connected service is governed by its own terms, and you are responsible for following them.
• We do not control third-party services and are not responsible for their availability, changes or outages, or for content once it has been published to them.

Access to the Service may be provided free of charge or under a separate agreement or order with Baytech. If you buy paid access, the fees, billing and refund terms are those stated in that agreement or at the time of purchase. Unless they say otherwise, fees are non-refundable.

The Service, including its software, design, logos and the name Text Agent, belongs to Baytech and its licensors. These Terms give you the right to use the Service, not ownership of it, and you may not copy, distribute or use any of it outside the Service.

We may change, suspend or discontinue any part of the Service at any time, with or without notice. We do not guarantee that the Service will be uninterrupted or error-free, and we are not responsible for downtime or for loss of data. Keep your own copies of content that matters to you.

The Service and all content are provided “as is” and “as available.” To the fullest extent the law allows, Baytech disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

• To the fullest extent the law allows, Baytech is not liable for any indirect, incidental, special or consequential damages, including lost profits, lost data and harm to reputation, even if we were told they were possible.
• Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim arose.

• You may stop using the Service at any time, and you can ask us to delete your account as described in our Privacy Policy.
• We may suspend or terminate your access at any time, for any reason, with or without notice.
• When your access ends, your right to use the Service ends and we may delete your content. The sections of these Terms that by their nature should continue, such as ownership, disclaimers, limitation of liability and dispute resolution, continue to apply.

• These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules.
• Any dispute relating to these Terms or the Service will be resolved by binding arbitration.
• Class action waiver: claims may be brought only on an individual basis, not as a plaintiff or class member in any class or representative proceeding.

We may update these Terms from time to time. When we do, we will post the new version here and change the date at the top. Your continued use of the Service after a change takes effect means you accept the updated Terms.
